Decisioner Terms of Service

Last updated: 2026-10-18 (terms version tos-2026-10-ml)

These Terms of Service ("Terms") are an agreement between Lalettayin LTD, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us") and the merchant that installs the Decisioner app ("you"). By installing the App or accepting these Terms in the App you agree to them. If you accept on behalf of a business, you confirm that you may bind it.

1. The service

Decisioner decides, for each abandoned checkout in your Shopify store, whether to send a recovery email, when, with which of your approved messages and with which discount tier within the limits you set. Messages are delivered through your own Klaviyo account or your own Shopify Flow workflow (the "delivery target"). By default each message waits for approval by your staff; you may turn on automatic sending per use case.

2. Your account and requirements

  • You need an active Shopify store and, depending on the delivery target, a Klaviyo account or Shopify Flow.
  • You are responsible for your staff users' actions in the App and for keeping your Klaviyo key confidential.
  • You must follow the Shopify Partner Program Agreement, the Shopify API terms, Klaviyo's terms and all laws that apply to your marketing.

3.1 You are responsible for marketing consent. You are the sender of every message and the controller of your customers' data. You must have a valid legal basis, normally prior opt-in consent, to send marketing emails to each customer, and you must honour every unsubscribe and objection, under the laws that apply to you and to your customers (for example the GDPR, the ePrivacy rules, CAN-SPAM, CASL).

3.2 The App only messages SUBSCRIBED customers. The App hands a message to your delivery target only when the customer's Shopify email marketing state is SUBSCRIBED and, when a Klaviyo key is connected, the Klaviyo profile is also subscribed (the stricter state wins). Customers who opted out of data sale or sharing are not processed. SMS, WhatsApp and RCS are offered only for tools the App marks as available, and only once phone consent can be verified. This check is a safeguard, not a substitute for your own consent obligations: if your consent records in Shopify or Klaviyo are wrong, the App relies on them.

3.3 Shopify Flow workflows must respect consent. If you use the Shopify Flow target, your workflow that starts with the "Recovery message ready" trigger must use only actions that respect the customer's marketing consent and unsubscribe status, must not add wait steps, and must not send to any address other than the customer's. You confirm this in the App before the Flow target is enabled. You are responsible for the content and the delivery of messages your workflow sends.

3.4 Klaviyo flows. If you use the Klaviyo target, you must keep the flow set up as guided in the App (including the confirmations you give there) and keep conflicting abandoned-checkout automations turned off, so a customer does not get duplicate messages.

3.5 Message content. You write or approve every message variant. You are responsible for its content, accuracy, required legal notices (such as sender identity and unsubscribe link, which your email provider adds) and the discounts it offers. AI-drafted text is only a suggestion until you approve it.

3.6 Tools you connect. You may connect your own marketing tools (for example Klaviyo, Omnisend, Twilio, Brevo, Postscript, Wati, Mailchimp, ActiveCampaign, Customer.io) or hand messages to your own Shopify Flow workflow. Each connected tool is a destination you select and your own processor: you hold the contract and data-processing terms with that vendor, you choose its data region, and you are responsible for what it sends. You give the App permission to store the credentials you enter (encrypted) and to use them only to deliver messages you approved, read the consent and time-zone facts the App needs, and check the connection. Disconnecting a tool deletes its stored credentials.

3.7 SMS, WhatsApp and RCS. Where a channel other than email is offered, you are responsible for the rules of that channel and of your customers' countries, including the TCPA and US A2P 10DLC registration, CASL, PECR, India TRAI DLT registration, Brazil LGPD, quiet-hour rules, sender registration and opt-out handling. WhatsApp messages need a WhatsApp opt-in you collected and a template approved by Meta; WhatsApp and SMS vendors charge per message, often by country, under your contract with them. RCS messages fall back to SMS when a handset cannot receive RCS.

3.8 Shopify Flow recipes. For a tool reached through a Shopify Flow recipe, you build and run the workflow. You must add the consent condition the App shows (the "Consent state" field and the customer's marketing state) before any sending action.

4. Discounts

The App creates single-use discount codes in your store within the monthly budget and maximum discount you set. Codes expire at the end of the recovery window. You are responsible for honouring codes that were sent. Unused codes are removed when the related data is deleted.

5. Emergency stop

You can stop all sending at any time with the emergency stop in the App. Messages already handed to Klaviyo or Shopify Flow before the stop are outside our control.

6. Plans, fees and billing

6.1 Plans and their prices are shown in the App and on the Shopify App Store listing. All charges are billed through Shopify's billing system on your Shopify invoice. We do not bill you directly.

6.2 You accept a paid plan in the App through Shopify's approval screen. Paid plans are recurring charges every 30 days in USD; the Free plan needs no approval and has no charge. Each plan includes a number of customer events (of every kind, such as abandoned checkouts, browsing and first orders) that Decisioner decides on per 30-day period; when that number is reached, further customer events are not processed until the next period, and nothing extra is charged. Paid plans start with a 14-day free trial, offered once per store.

6.3 We will not start charging, or change a price, without your new approval through Shopify. You can change or cancel your plan in the App or by uninstalling. Shopify cancels app subscriptions on uninstall.

6.4 Taxes are handled as Shopify states in its billing terms. Charges are billed by Shopify. Fees already paid are not refundable except where required by law; you can downgrade or cancel at any time in the app, effective at the end of the current billing period.

7. Data protection

Our Data Processing Addendum (https://decisioner.co.uk/legal/dpa.html) applies to the customer personal data we process for you and forms part of these Terms. Our Privacy Policy (https://decisioner.co.uk/legal/privacy.html) explains our processing. The current subprocessor list is at https://decisioner.co.uk/legal/subprocessors.html.

8.1 Learning is off by default. Nothing is learned from your store until a staff user of your store ticks the learning consent box and presses "I agree" in the App (in setup or in Settings). This is a separate action; accepting these Terms does not turn learning on.

8.2 That click-through is your prior written consent, given for your store, under section 9.15(b) of the Shopify Partner Program Agreement to the use of your store's Shopify data (orders, checkouts and message outcomes) to train and update machine-learning models. We keep the wording version you agreed to, a SHA-256 fingerprint of the exact text shown, the staff user, the store and the time as the record of that consent. If we change the wording materially, learning pauses until a staff user agrees to the new wording.

8.3 The models are per store. Data from your store trains and updates only the models used for your store. It is never pooled with other stores' data, never used for another store and never used to build or improve any general or shared model, including starting values ("priors") for other stores. The starting values every store begins with are fitted on synthetic data only.

8.4 You can withdraw the consent at any time in Settings. The App then stops learning at once and deletes the learned data for your store (learning state, calibration data, customer personas and the customer summaries it saved in Shopify). Learned data is also deleted when you uninstall the App (section 15) and on a shop redact request. Without consent the App uses only general rules.

8.5 The model providers we use for decisions and drafting, TypeSafe (Jev) and Google Vertex AI, process requests for inference only and must not train or improve their models with your data or your customers' data. Google's Vertex AI terms already exclude training on customer data. For TypeSafe this commitment is part of the data addendum we must sign before any real store data is sent to Jev; until then Jev receives no real store data. We send neither provider any shop, customer or subject identifier.

9. Acceptable use

You must not: use the App to send messages to people without a legal basis; try to break the App's security or tenant isolation; reverse engineer the App; use it to build a competing product; send us data the App does not ask for (for example sensitive categories in message text).

10. Intellectual property

We own the App and its models. You own your store data and your message content. You give us a licence to process them only to provide the App to you, as set out in the DPA.

11. Availability and changes

We aim to keep the App available but do not promise uninterrupted service. A decision may be skipped when a guardrail, a provider or the decision model is unavailable; the App then sends nothing rather than an unchecked message. We may change the App; we tell you in advance about changes that reduce core features.

12. No guarantee of results

The App's decisions and any lift estimates are estimates. We do not guarantee any recovery rate, revenue or other result.

13. Disclaimer and limitation of liability

13.1 The App is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties not stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

13.2 Neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data, even if advised of the possibility.

13.3 Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid to us through Shopify in the 12 months before the event giving rise to the claim, or USD 100 if you paid none.

13.4 For a breach of our data protection obligations (section 7 and the Data Processing Addendum) the limit in 13.3 is three times that amount.

13.5 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

13.6 You are responsible for having a valid legal basis and consent for every message sent to your customers and for the content of the messages, offers and settings you approve; we are not liable for losses that result from them.

14. Indemnity

You will defend and indemnify us against third-party claims that arise from messages sent to your customers without a valid legal basis, from your message content or from your breach of section 3.

15. Term and termination

These Terms apply while the App is installed. You can end them at any time by uninstalling. We may suspend or end your access for a material breach, for example sending without consent. After uninstall we delete your Klaviyo key and sessions at once and all store data 30 days later, unless you reinstall before then (see the Privacy Policy).

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer or local law says otherwise.

17. Changes to these Terms

We may update these Terms. We tell you in the App before a material change takes effect. If you do not agree, you may uninstall the App.
